LICENSE AGREEMENT

Dear User! Before installing, copying, or otherwise using the Software, please read carefully the terms of this Agreement, which is a standard form of adhesion contract concluded in writing or in another form provided for by the current legislation of the Republic of Belarus. If you do not agree with the terms of this Agreement, you may not use the Software. Installation, launch, or other commencement of use of the Software constitutes your full acceptance of all terms of this Agreement and its proper conclusion. This Agreement is a legally binding agreement; if you do not agree to accept its terms, you have no right to install the Software and must remove all its components from your Bitrix24 portal.

This License Agreement (hereinafter — the Agreement) is concluded between DEFIANT Limited Liability Company (hereinafter — the Licensor) and the User (any individual, individual entrepreneur, or legal entity, hereinafter — the User) of the Software (hereinafter — the Software).

Key terms of this Agreement:

• Software — a computer program (both as a whole and its components), the exclusive proprietary rights to which, within the territory specified in clause 1.4 of the Agreement, belong to the Licensor. The Licensor's software products are cloud services (SaaS) available through the Bitrix24 Marketplace platform.
• Demo version of the Software — a version of the Software with a time-limited period of use, intended solely for the User to independently familiarise themselves with the functional capabilities of the Software under the terms of this Agreement and not intended for sale or other transfer to third parties.

The terms of use for a specific software product (subject, pricing plans, data accessed) are defined by an Addendum to this Agreement, published on the respective product's page.

1. SUBJECT OF THE AGREEMENT

1.1. In the manner and on the terms provided for in this Agreement, the Licensor grants the User the right to use the Software (a simple non-exclusive licence), exercised by the User installing and launching the Software in accordance with its technical documentation and the terms of this Agreement.

1.2. All provisions of this Agreement apply both to the Software as a whole and to its individual components. The Software is licensed as a single computer program; its components may not be separated and used on different Bitrix24 portals.

1.3. This Agreement is concluded before or at the moment of commencement of use of the Software and remains in effect throughout the term of the Licensor's exclusive right to the Software, subject to the User's proper performance of the terms of this Agreement.

1.4. The Licensor grants the User the right to use the Software within the territory of the following countries: Republic of Belarus, Russian Federation, Republic of Kazakhstan, Kyrgyz Republic, Republic of Uzbekistan, Republic of Tajikistan, Republic of Armenia, Republic of Azerbaijan, Republic of Moldova, Georgia — on the terms and in the manner provided for by the current legislation of the Republic of Belarus and this Agreement.

2. COPYRIGHT

2.1. The Software is a result of intellectual activity and an object of copyright as a computer program, which is regulated and protected by the legislation of the Republic of Belarus on intellectual property and by international law.

2.2. The Software contains trade secrets and other confidential information belonging to the Licensor. Any use of the Software in breach of the terms of this Agreement shall be deemed a violation of the Licensor's rights and constitutes sufficient grounds for depriving the User of the rights granted under this Agreement.

2.3. The Licensor warrants that it holds all rights to use the Software, including its documentation, necessary to grant the User the rights to use the Software under this Agreement.

2.4. In case of infringement of copyright, liability is provided in accordance with the current legislation of the Republic of Belarus.

3. TERMS OF USE OF THE SOFTWARE AND LIMITATIONS

3.1. This Agreement grants the right to install, launch, and use one lawfully acquired copy of the Software within its functional capabilities on one Bitrix24 portal.

3.2. The User has the right, upon notifying the Licensor, to assign (transfer) their rights and obligations under this Agreement to another User in full on a one-time basis, except for the right of subsequent assignment (transfer) of rights under this Agreement to other Users. Such assignment (transfer) of rights and obligations is made subject to the new user's full and unconditional acceptance of all provisions and terms of this Agreement. When transferring the rights to use the Software, the User undertakes to completely remove the Software from their Bitrix24 portal. The User must provide complete data of the new User for re-registration of the rights to use the Software under this Agreement.

Assignment (transfer) of rights under this Agreement may not be made (i) indirectly or through any third party, or (ii) where the User uses the Demo version of the Software, in respect of which a complete prohibition on alienation by the initial User is established.

3.3. The User may not reproduce, decompile, or create derivative products based on the Software.

3.4. It is prohibited to remove any copyright information.

3.5. Any use of the Software contrary to the current legislation is prohibited.

4. DATA PROCESSING

4.1. In the course of operation, the Licensor's software products may access the User's Bitrix24 data solely to the extent necessary to perform the application's functions. The specific list of processed data is defined in the Addendum to this Agreement for each software product.

4.2. The Licensor does not store the User's data longer than necessary to perform the application's functions and maintain logs within the limits established by the pricing plan.

4.3. The Licensor undertakes not to transfer the User's data to third parties, except in cases provided for by law.

5. LIABILITY OF THE PARTIES

5.1. Liability for breach of the terms of this Agreement is as provided by the legislation of the Republic of Belarus.

5.2. The Licensor shall not be liable to the User for any damage, any loss of profit, information or savings arising from the use or inability to use the Software, even if the User has given prior notice of the possibility of such damage, or for any claim by a third party.

5.3. The Licensor's aggregate liability to the User shall not exceed the amount paid by the User for the last billing period.

6. LIMITED WARRANTY

6.1. The Licensor grants the User the right to receive technical support by way of consultation on matters related to the functionality of the Software, installation and operation features on the terms and for the entire term of this Agreement, without payment of additional remuneration. Technical support is provided via the email address listed on the application's page in Bitrix24 Marketplace. The Licensor undertakes to review critical error reports within 2 business days.

6.2. All updates to the Software are an integral part thereof and are used exclusively together with the Software as a single computer program in the manner provided for in this Agreement, unless other terms of use of such updates are provided for in a separate licence agreement.

6.3. If errors are discovered when using the Software, the Licensor undertakes to correct them as soon as possible and release a new, corrected version of the Software. The parties agree that an exact determination of the time for eliminating an error cannot be established, as the Software closely interacts with other computer programs of third-party developers, the Bitrix24 platform and its infrastructure, and the operability and time for resolving issues do not depend solely on the Licensor.

6.4. In case of non-compliance with any of the provisions of section 3 of this Agreement, the User automatically loses the right to receive updates (new versions) of the Software.

7. EFFECT, AMENDMENT AND TERMINATION OF THE AGREEMENT

7.1. This Agreement is concluded and shall be construed in accordance with the legislation of the Republic of Belarus. Disputes shall be resolved in court at the location of the Licensor.

7.2. In case of the User's breach of the terms of this Agreement, the Licensor has the right to terminate this Agreement unilaterally by notifying the User thereof 7 (seven) days in advance.

7.3. Upon termination of this Agreement, the User must cease use of the Software entirely and remove the Software from their Bitrix24 portal.

7.4. The User may terminate this Agreement at any time by completely removing the Software from their Bitrix24 portal.

7.5. If a competent court finds any provisions of this Agreement to be invalid, the Agreement shall continue in effect in respect of the remainder.

7.6. This Agreement also applies to all updates (new versions) of the Software provided to the User during the term of its effect, unless upon updating the Software the User is offered to review and accept a separate licence agreement or amendments to this Agreement.
